助動詞の中でも、今回は”shall”と”will”に焦点を当てます。一般的に”shall”も”will”も「未来」を表わしますが、英文契約書の場合”shall”は「義務」（＝～しなければならない）「強制」（＝～するものとする）のように義務的表現とされます。
一方、”will”は「未来の約束」「単なる期待」のように一般的な意味合いに近いです。
ちなみに”shall”の否定形である”shall not”は、「禁止」（＝～してはいけない）「不作為義務」（＝～できない）という意味になります。”shall”の肯定形・否定形各例文を見てみます。
【例文】
① Distributor shall give the purchases of Products appropriate instructions regarding the use of Products in accordance with the specifications.
② Licensee shall not assign this License Agreement nor any part thereof nor any rights or obligations hereunder without a prior written consent of Licensor.
【訳文例】
①販売店は、製品の購入者に対し、仕様書に基づいて、製品の使用方法に関する適切な指示を与える。
②ライセンシーは、ライセンサーの事前の書面の同意なしに、契約もしくはその一部または契約上の権利もしくは義務を譲渡してはならない。

次に”will”のみ、および”will””shall”双方が使われている例文を見てみます。
【例文】
① ABC will promptly notify XYZ of any changes described in the preceding Article, and will endeavor to make XYZ aware of ongoing developments and future products which may be appropriate for sale in Territory.
② Insofar as the the quantities of the Products ordered are within the scope of twenty(20) percent plus or minus the quantities which will have been notified to ABC as a purchase forecast or a change thereof and to which ABC will have raised no objections. ABC shall accept the quantities thereof.
【訳文例】
①ABCはXYZに対して、前条に記載される変更を直ちに通知し、また、開発中の製品および将来地域内での販売に適すると思われる製品について知らしめるよう努力する。
