前回(here-)について触れましたので、今回はその流れで(there-)について紹介します。
“there”は”this” “that” “it”に置き換えられます。普通は置き換えられる単語が”there-“の前に出ています（後の場合もあります）。具体的には、”therefor” “thereafter” “thereunder” ”thereby”などですね。今回は、”thereof”と”thereat”について以下具体例をあげて説明します。
①”thereof”
本契約書以外の文書を示す”there”と前置詞”of”との組み合わせとなります。
【例文1】
“A notice given by airmail is presumed to have been delivered to the recipient party seven(7) days from the dispatch thereof.
【訳文例】
航空便による通知は、発信日から7日目に相手方に到着したものと推定される。”is presumed”で「推定される」という意味になります。

この場合の”thereof”は、”A notice given by airmail”を置き換えています。慣れない表現です。素直に書いてくれたらいいのにと思いますよね。
【例文2】
“If the Buyer fails to perform any other agreement with the Seller or any provisions thereof, the Seller may forthwith terminate this Agreement.
【訳文例】
買主が売主とのその他の契約またはその条項に定める義務を履行しない場合は、売主は本契約を直ちに解除することができる。

“fail to～”は、「～をしない」の意味です（⇒失敗するではありません）。この場合の”thereof”は、”any other agreement with the Seller”を置き換えられており、「本契約書以外の契約」のことです。これも慣れないと難しいですね。
②”thereat”
【例文】
“The Seller shall deliver the Product at the place designated by the Buyer. Title to the Product shall pass thereat.
【訳文例】
売主は、買主が指定された場所において本製品を引き渡す。本製品の所有権はその場所において本製品を引き渡す。本製品の所有権はその場所において売主から買主へ移転する。
“title”は「所有権」のことです。この場合の”thereat”は”at the place designated by the Buyer”を置き換えられています。
”here-” “there-“は英文契約書特有の表現です。前後の文脈を見ながら何を置き換えているのかをよく観察して訳す必要があります。まずは慣れることが大切です。
