今回は、一般的な英文でも使われますが、英文契約書で特によく使われる表現である”Subject to”について紹介します。
“Subject to“；「～を条件として/する」「～に従って/従う」という意味になります。
【例文】
① This Agreement shall be subject to approval of the Board of Directors.
② Subject to the provisions of Articles 8 hereof, the Licensee may sell the Licensed Product to its subsidiaries and affiliated companies.
③ ABC hereby appoints XYZ as a non-exclusive distributor for the marketing, distribution and sale of the Products in the Territory, subject however, to the following;
④ Subject to availability, the Licensor shall give free of charge the Licensed Product already marketed in the world.
【訳文例】
①本契約は、取締役会の承認を条件とする。
②ライセンシーは、本契約第8条の定めに従い、本ライセンス製品を自己の子会社および関連会社に販売することができる。
③ABCは、販売地域における本製品のマーケティング、流通および販売について、XYZを非独占的販売店に指名する。ただし、以下に従う。
④ライセンサーは、入手できる場合に限り、ライセンシーに世界のマーケットですでに販売されている本ライセンス製品に関する情報を無償で提供する。

今回の表現は前回までの”here-” “there-“とは違い、比較的すっと頭に入りやすい表現ではないでしょうか。英文契約書ではよく出てくる表現ですので、是非活用してみてください。
