今回は英文契約書で頻出の表現です。”provided”は一般的には「提供された」「供給された」という意味ですが、英文契約書では「定められた」「記載された」のような意味合いになります。さらに、”provided clause”と呼ばれる但し書きにも使用されます。例えば、「ただし・・・を除く」「ただし・・・の場合に限る」といった場面です。”provided clause”では、”provided(that)”や”provided, however, that”のように使われることがあります。
【例文】
① Any matters which are not provided for in this Agreement shall be determined through mutual consultation between the parties.
② This Agreement shall come into effect on the date of execution, provided that approval by the board of directors must be obtained prior to the execution.
③ None of the parties may terminate this Agreement for any reason during the term hereof, provided, however, that any one of the parties may terminate this Agreement at any time by sending notice of termination to each of the remaining parties.
④ ABC reserves the right to market, distribute and sell the Products in the Territory, either directly by ABC or indirectly through one or more other distributors; provided that a maximum of only tow additional distributors (including ABC) other than XYZ shall have the right to market, distribute and sell the Products and sell the Products in the Territory.
【訳文例】
①本契約に定めのない事項については、当事者間の相互の協議により決定する。
②本契約は、その締結日に発行する。ただし、締結日前の取締役会の承認を条件とする。
③いずれの当事者も本契約期間中に本契約を解除することはできない。ただし、当事者のいずれかが残りの当事者すべてに解除通知をした場合には、いつでも解除することができる。
④ABCは、ABC自身直接又は1社以上の別の販売店を通じて間接に、販売地域で本製品のマーケティング、流通及び販売を行う権利を留保する。ただし、XYZ以外に多くとも2社のみの販売店（ABCを含む）が販売地域で本製品のマーケティング、流通及び販売を行う権利を有する。
