昨日の冷たい雨も上がり、今日は快晴です。本格的な冬到来ですね。今回の”notwithstanding”は普段あまり目にしない表現ではないでしょうか。「～にもかかわらず」という意味になりますが、一般的には”although”「～ではないけれども」のような表現が一般的に使われるでしょう。英文契約書では、前の文章の記載内容とは異なる特別な条項を入れたい場合に使われます。例えば”Notwithstanding the foregoing,…”といえば「上記の記載にもかかわらず」という意味になります。より具体的な文だと”Notwithstanding the provision of Article15,…”「第15条の定めにもかかわらず、…」という意味ですね。要は、前文の内容とは異なる内容を表したいときに使います。
【例文】
① Notwithstanding the foregoing, this Indemnity shall absolutely determine（※） upon Miki’s voluntary retirement from or otherwise ceasing to act as Director of JEX.
② Notwithstanding the provision of Article 15, the title to the Product shall remain with the Seller until the Price thereof and all other moneys payable to the Seller by the Purchaser, whether in connection with the purchase of the Product or otherwise, have been paid in full to the Seller.
【訳文例】
①上記の記載にもかかわらず、この損失補償は、ミキ氏が自己都合またはその他の事由でJEX社の取締役を退任または辞任すると同時に完全に消滅する。
②第15条の定めにもかかわらず、売主は、買主が売主に支払うべき本製品の代金およびその他の金員のすべてが（それが本製品の購入に関するか否かを問わず）売主に完全に支払われるまで、本製品の所有権を留保する。
