契約書内で何度も出てくる言葉の「定義」を明確にしておくことは大切です。重要な言葉は大文字で書かれたり、頭文字だかが大文字で書かれたりもします。少し長めの文章なので、今回は【例文】のみ以下紹介します。
Article 1. DEFINITIONS
In this AGREEMENT, the following terms have the following meanings, except where the context otherwise requires:
(a) “MATSUMOTO” means MATSUMOTO CORPORATION, a company organized and existing under the laws of Japan, having its principle place of business at 5-6, Ikebukuro 4 -chome, Toshima-ku, Tokyo, Japan; and MATSUMTO is the manufacture of the Products and the parent company of MIYANO;
(b) “MORI” means MORI INTERNATIONAL COMPANY, a company organized and existing under the laws of the State of California, having its principle place of business at 789 Green Avenue, Los Angeles, California, U.S.A.; and MORI is planning to manufacture certain foodstuff using the Products and sell the foodstuff in the U.S.;
(c) “Products” means the products to be manufactured by MATSUMOTO and supplied by MIYANO in accordance with the Specifications;
(d) “Specifications” means the specifications of the Products attached to this AGREEMENT ; the Specifications also include the inspection method of the Products and packing standards; and the Specifications shall constitute an integral part of this AGREEMENT;
(e) “Trademarks” means the trademarks to be used on the Products and specified in the Schedule attached hereto.
In this AGREEMENT, unless the context requires otherwise, the singular includes the plural and vice versa.
