今回は、契約の中でも特に交渉のポイントとなる条文の紹介です。契約締結時に、購入量を明確に決める場合と、都度個別契約で決める場合がありますが、いずれにせよ重要です。
【例文】 Article 3. MINIMUM REQUIREMENT
During the term of this AGREEMENT, KOBAYASHI shall guarantee the minimum annual purchase of the Products from MIYANO to be negotiated and agreed upon separately. Thereafter, however, the minimum requirement in case the renewal year not later than sixty (60) days prior to the expiration date of the renewal term of this AGREEMENT. If KOBAYASHI fails to attain the minimum requirement as determined hereunder, MIIYANO may terminate this AGREEMENT by giving three (3) months written notice to KOBAYASHI at any time during the term or renewal term of this AGREEMENT.
【訳文例】 第23条 最低購入量
本契約期間中、コバヤシは、別途協議し合意される本製品の年間最低購入量を保証する。その後、契約期間が更新された場合におけるこの年間最低購入数量については、本契約更新期間満了の60日前に両当事者により毎年決定される。コバヤシが、本条に基づき決定される最低購入量を履行できない場合、ミヤノは、コバヤシに対し、３か月間の予告期間をもった事前通知により、本契約の期間中または契約更新後の期間中いつでも、本契約を解除することができる。
